- Definitions and Interpretation
1.1 Definitions:
- Bespoke Goods: Tailor-made, made-to-measure, or personalized items.
- Business Day: Any day except Saturday, Sunday, or public holidays in England when London banks are open.
- Charges: Fees payable for Goods as per clause 9.
- Collection Goods: Non-Bespoke items.
- Goods: Items outlined in the Order, including Bespoke and Collection Goods.
- Order: Your order for Bespoke and/or Collection Goods under clause 2.2.
- Terms and Conditions: The contract between you and us for Goods supply under these Conditions.
- We/Us/Our: Emerald Studio.
- Website: Our site at emeraldstudio.co.uk.
- You: The purchaser of Goods.
1.2 Interpretation:
- 1.2.1 A reference to a statute includes all subordinate legislation.
- 1.2.2 "Person" includes natural persons, corporations, or unincorporated bodies.
- 1.2.3 Singular includes plural, and vice versa.
- 1.2.4 Expressions like "including" are illustrative, not limiting.
- 1.2.5 "Writing" includes email.
- Basis of Contract
2.1 Your Order is an offer per these Conditions; ensure completeness and accuracy.
2.2 Orders for Goods via In-Person or Online methods are subject to clause 2.3.
2.3 Terms formation: In-Person – when we confirm supply, Online – upon dispatch details email.
2.4 Quotations for Bespoke Goods are not offers, valid for 20 Business Days.
2.5 These clauses exclusively apply, overriding other terms.
- General
3.1 Entire Agreement: These Conditions replace all prior agreements.
3.2 Waiver: Failure to exercise a right doesn’t waive it.
3.3 Severance: Invalid terms modified or deleted.
3.4 Notices: Effective on delivery or 2nd Business Day post for written notices.
3.5 Third Party Rights: No rights for third parties under the Contracts (Rights of Third Parties) Act 1999.
3.6 Force Majeure: Neither party liable for delay due to uncontrollable events.
3.7 Jurisdiction: England's courts have exclusive jurisdiction.
3.8 Governing Law: English law governs.
- Collection Goods
4.1 Descriptions on the Website are illustrative; variations may occur.
Note: Handcrafted items may vary; inform us if significantly different for resolution.
- Bespoke Goods
5.1 Bespoke Goods are non-refundable, estimated delivery dates are approximations.
5.2 We may use Bespoke Goods images for promotion unless consent is withdrawn.
- Delivery
6.1 Delivery to specified countries, tracked via third-party services.
6.2 Dispatch within 20 Business Days; notify us if not received.
6.3 Delivery to provided address; no liability for Force Majeure or inadequate instructions.
6.4 Delivery countries listed: [List of countries].
6.5 Taxes or customs duties for non-UK deliveries are your responsibility.
6.6 Delivered to address in Order or updated in writing.
- Risk and Title
7.1 Ownership upon full payment.

- Payment and Charges

9.2 Pricing errors may lead to termination; refunds issued.
9.3 Debit/credit cards accepted for payments.
9.4 Cash (under £5,000) accepted for In-Person Orders.

9.6 Full payment for Collection Goods during Order.
9.7 Bespoke Goods: 50% deposit, 50% on collection or pre-delivery.

9.9 No set-off, counterclaim, or withholding allowed.
- Cancellations and Refunds
10.1 Bespoke Goods non-returnable or refundable.
10.2 In-Person Orders not refundable; exchange or credit within 14 days.
10.3 Returned Goods must be unworn, undamaged, and in original packaging.
10.4 Earrings not returnable for hygiene reasons.
10.5 Rings not returnable due to customization.
10.6 Refund or exchange within 14 days for incorrect/damaged Goods.
10.7 Return at your expense; refund after Goods received and approved.
- Intellectual Property Rights
11.1 Survives termination.
11.2 Ensure ownership/license for materials; we own other Intellectual Property Rights.
- Liability
12.1 Survives termination.
12.2 Not liable for certain issues; liability limited to 100% of Charges.
12.3 Exceptions for personal injury, fraud, statutory duties.
